And yes, there are enough level 5 Sea Serpents to Xyz summon this with.

1. Is this based off of Sea Dragon Lord Gishilnodon?
2. Your OCG is a bit off. Monster types should be written like this: Beast-Type, not "Beast Type". The latter example means that "Sea Serpent Type" is an archetype.
3. No, there really aren't. The only 3 level 5 sea serpents there are (link: http://yugioh.wikia.com/wiki/List_of_Sea_Serpent-Type_monsters) are the aforementioned Sea Dragon Lord Gishilnodon, Divine Dragon Aquabizarre, and a crappy level 5 old normal monster with level 4 stats. This card doesn't really support sea serpents.
4. With this being said, the negatives: The only way to get this card out would be to use a combination of Gishilnodon and Aquabizarre, or 2 copies of one of them, as the level 5 normal monster is unusable. I don't think I'd want to waste 2 powerful synchro monsters that can each become 3k beaters for a turn for a 2.5k Xyz that is solely defensive. Aquabizarre is super slow, IMO, and so a deck that runs it would be slow, restricting this card to mediocre decks. In addition, this card would create a stalemate in which your opponent is afraid to declare any attacks for fear of their monsters getting smashed by this. I personally don't like cards that create stalemates: I find them to be counter-intuitive, boring, and not very fun to use. They can provide much-needed salvation, but if your opponent has the advantage, odds are you won't be able to tribute summon, much less synchro summon. I personally find this card too defensive and costly to be a boss monster or a meta card.
5. The good parts: Despite my harsh words, this card has its positives. It provides vital support for WATER monsters, and, if its summoning conditions would be edited to requiring WATER monsters, it could be runnable. It can also create a state of pseudo-victory in which you protect your valuable monsterswhile you buy time to summon out a boss card. Its retribution effect, acquiring Umi or Umiruuka if it's destroyed by a card effect, can certainly give you can edge in the duel, as the latter gives your WATER monsters a nice Atk boost.
6. How you can make this card better: Please change the summoning conditions so that they require WATER monsters. That will make this card MUCH more splashable and it will change its entire purpose. It will become a usable card.
7. Conclusion: Eh, about average. Not horrible, but not particularly colorful. W/o fix: 4.5/10 With fix, 7/10

It's Sea Serpent-Type, not "Sea Serpent". The latter denotes cards with Sea Serpent in the name, of which I can think of 1 - a level 4.

There may technically enough level 5 sea-serpents to summon this, but when there are just 3, 1 of which is useless, there really aren't, making the thing unusable unless the deck runs Lemuria to increase the levels of some smaller monsters. The effect is nice, since it protects your monsters and gives you a card when it dies, but it's not really usable.

Either make the requirement WATER or make it level 4 Sea Serpents which would open up more cards to make it with. With materials coming from the numerically smallest type the ATK would need decrease by only 100 or so to balance it.
